Distribution agreement
Partum Arts Music Distribution Agreement
This agreement explains the terms that apply when an artist submits a single, EP, album, or other music release through Partum Arts Music or the Partum Artist Portal. It covers release rights, review, submission, payments, royalties, takedowns, portfolio use, and related distribution responsibilities.
01.Scope of this agreement
OpenClose
Scope of this agreement
This Distribution Agreement applies to artists, managers, labels, representatives, and other users who submit music releases to Partum Arts Music for review, preparation, distribution processing, release management, public release links, promotional artwork, royalties, and related artist portal services.
“Partum Arts Music,” “Partum,” “we,” “our,” and “us” refer to the Partum Arts Music platform, record label, music distribution, and artist services operation. “Artist,” “you,” and “your” refer to the person or entity submitting a release, ordering a service, or using the Partum Artist Portal.
This agreement should be read together with our Terms of Use, Privacy Policy, Refund Policy, Copyright Policy, and any separate written agreement signed between you and Partum Arts Music.
02.Artist account and eligibility
OpenClose
Artist account and eligibility
To submit a release, you may be required to create an artist account, complete your artist profile, provide accurate contact information, and follow the release submission steps inside the Partum Artist Portal.
You are responsible for keeping your login details secure and for making sure that the information connected to your artist profile, release, payment, and payout setup is correct and up to date.
Partum Arts Music may refuse, pause, or restrict release processing if account information is incomplete, misleading, suspicious, or inconsistent with the artist, label, rights holder, or release details provided.
03.Rights, ownership, and authority
OpenClose
Rights, ownership, and authority
You confirm that you own, control, or have obtained all rights, licences, permissions, and approvals required to submit your music, artwork, lyrics, metadata, artist name, producer credits, featured artist information, and any related materials for review and distribution.
You remain the owner of your music and related rights unless a separate written agreement signed by you and Partum Arts Music says otherwise. Paying for distribution through the Partum Artist Portal does not automatically transfer ownership of your recordings, compositions, name, image, or brand to Partum Arts Music.
You authorise Partum Arts Music to prepare, review, submit, manage, update, display, promote, and request takedown of your release through approved distribution partners, digital music platforms, and related service providers where applicable.
04.Release materials and metadata
OpenClose
Release materials and metadata
You are responsible for submitting accurate release details, including artist name, release title, track titles, featured artists, producer credits, explicit content information, release type, artwork, audio files, lyrics where provided, existing UPC information where applicable, and any other required metadata.
Cover artwork should be high quality and must not include unauthorised logos, platform badges, misleading claims, copied images, offensive content, or information that conflicts with platform requirements. Audio files should be final, complete, and ready for distribution review.
If your release information is incomplete, incorrect, misleading, or not compliant with distribution or platform requirements, Partum Arts Music may request corrections before processing continues.
05.Review, corrections, and approval
OpenClose
Review, corrections, and approval
Partum Arts Music reviews submitted releases before processing them for distribution. Review may include checking metadata, artwork, audio, rights information, payment status, explicit content disclosure, and general release readiness.
We may approve a release, request corrections, place a release under further review, reject a release, pause processing, or request additional information. Review by Partum Arts Music does not guarantee approval by any third-party distribution partner or digital music platform.
If corrections are requested, you are responsible for responding and submitting corrected information or files. Delays in responding to correction requests may delay release processing, platform delivery, public release links, promotional artwork, and related services.
06.Distribution partners and digital platforms
OpenClose
Distribution partners and digital platforms
Partum Arts Music may submit, process, manage, or request takedown of releases through approved distribution partners, digital music platforms, and other service providers where applicable. We are not required to publicly disclose every partner, provider, workflow, or platform relationship used to process a release.
Digital music platforms may include streaming services, download stores, video platforms, social music products, and other eligible music services. Platform availability may change over time and may depend on distribution partner rules, platform policies, territory availability, content eligibility, rights checks, and technical requirements.
Partum Arts Music does not guarantee that every release will be accepted by every platform, appear on every platform, remain available on every platform, or go live by a specific date. Delivery timelines, approval, takedown timing, updates, monetisation, and reporting can depend on third-party systems outside Partum Arts Music’s direct control.
07.Payments and non-refundable fees
OpenClose
Payments and non-refundable fees
Distribution fees, release fees, artist service fees, and related payments must be paid using the payment options made available by Partum Arts Music. Payment options may include online checkout, mobile money, bank transfer, and manual payment proof where available.
Payments for releases and artist services are generally non-refundable once submitted. Fees cover administrative handling, release preparation, review, processing, service allocation, communication, platform submission preparation, and related operational work.
No refund is provided where you change your mind, delay materials, submit incorrect information, fail to respond to corrections, request cancellation after payment, submit content that cannot proceed because of rights issues, or where a release or service cannot proceed because of non-compliant, incomplete, misleading, or infringing material.
Partum Arts Music may review limited payment correction cases, such as verified duplicate payment, verified overpayment, payment sent to the wrong account, or an internal inability by Partum Arts Music to provide the paid service. Any correction, credit, alternative remedy, or refund in such cases is handled at Partum Arts Music’s discretion and subject to applicable requirements.
08.Marketing, portfolio, and showcase use
OpenClose
Marketing, portfolio, and showcase use
By submitting release materials, ordering artist services, approving final deliverables, or making a purchase through Partum Arts Music, you grant Partum Arts Music permission to use relevant submitted, distributed, or purchased materials for marketing, portfolio, showcase, case study, social media, website, proposal, presentation, and other business or promotional purposes where applicable.
This permission may include use of your artist name, stage name, release title, cover artwork, public release links, public platform links, approved service deliverables, promotional designs, snippets or previews where lawful and available, and related materials connected to the release or service order.
This clause does not transfer ownership of your underlying music or creative rights to Partum Arts Music unless a separate written agreement says otherwise. If a specific material must remain private or embargoed, you must inform Partum Arts Music in writing before submission, publication, approval, or delivery.
09.Royalties, reports, and payouts
OpenClose
Royalties, reports, and payouts
Where royalties apply, royalty information is made available when reports are received, processed, matched, and prepared for artist viewing or payout. Reported royalties may not be immediately withdrawable.
Artist-facing royalty stages may include reported royalties, collection in progress, withdrawable balances, withdrawal requests, and paid payout history. Withdrawable amounts may depend on collection, reconciliation, exchange rates, payment charges, taxes, deductions, minimum withdrawal rules, payout method, and other applicable adjustments.
Partum Arts Music does not guarantee income, streams, sales, payout dates, reporting dates, exchange rates, or platform reporting timelines. You are responsible for providing accurate payout details and keeping your payout security information private.
10.Takedowns, edits, and suspensions
OpenClose
Takedowns, edits, and suspensions
You may request certain updates, corrections, or takedowns through the support process or artist portal where available. Some edits may require platform approval, partner processing, or full takedown and resubmission.
Partum Arts Music may pause, reject, suspend, restrict, or request takedown of a release if we believe the release violates this agreement, platform rules, rights requirements, copyright obligations, payment requirements, artist identity requirements, or any applicable policy.
Takedown timing depends on third-party systems and is not always immediate. A release may continue appearing on certain platforms while takedown or update requests are being processed.
11.Artist services and promotion support
OpenClose
Artist services and promotion support
Partum Arts Music may offer artist services such as cover artwork, release support, promotional creative, visualizers, lyric videos, campaign support, and related services. Each service may have its own requirements, turnaround expectations, revision limits, delivery format, and payment status.
Promotional support does not guarantee streams, followers, playlist placement, views, engagement, press coverage, revenue, fan growth, or viral results. Promotion outcomes can depend on song quality, artist activity, audience response, budget, platform behaviour, timing, and other external factors.
12.Record label relationship
OpenClose
Record label relationship
Partum Arts Music operates as a record label, music distribution, and artist services platform. Using the Partum Artist Portal or paying for distribution does not automatically make you an exclusive label artist, signed recording artist, publishing client, or management client of Partum Arts Music.
Any exclusive label relationship, recording deal, publishing arrangement, management arrangement, royalty split, ownership transfer, advance, recoupment term, or special commercial arrangement must be confirmed in a separate written agreement signed by the relevant parties.
13.Artist responsibility and indemnity
OpenClose
Artist responsibility and indemnity
You are responsible for the releases, files, artwork, metadata, claims, instructions, and account activity you submit to Partum Arts Music. You agree not to submit content that is stolen, misleading, infringing, defamatory, fraudulent, unlawfully sampled, uncleared, impersonating another artist, or otherwise not authorised for distribution.
If a claim, complaint, takedown request, dispute, penalty, loss, or cost arises because of content or information you submitted, you agree to cooperate with Partum Arts Music and to be responsible for losses, costs, deductions, claims, or liabilities connected to your breach of this agreement or your lack of rights.
14.Service limits and liability
OpenClose
Service limits and liability
Partum Arts Music works to provide a professional release submission and artist services process, but we do not control every third-party platform, partner system, approval decision, reporting timeline, payout rail, algorithm, playlist decision, search result, or audience response.
To the fullest extent allowed by applicable rules, Partum Arts Music is not responsible for indirect losses, lost profits, lost opportunities, platform delays, rejected releases, unavailable stores, takedown delays, metadata delays, reporting delays, or promotional outcomes outside our direct control.
